After converting DWG to shap the lines will always be lines as Autocad don't support polygon in GIS concept. Just use Feature to polygon tool in arcgis tool box to make the closed line to polygon inside Arcgis.

Thank you I will try this and let you know the results. Is there any way to easily georefrence the cad file ?

Try SuperGIS Desktop. It has utility of converting dwg to geo file, Data convertor. The output is  geo file. It can be converted as shape file.

Does it convert to line only or it will recognize polyines too?

Civil 3D and Map 3D have problem with conversion to shp files, if you want to open them in ArcView GIS or ArcGIS.

The first time the theme is opened with no problems in ArcView or ArcGIS, but when you close those ESRI applications, shp becomes corrupt. The last working shp export is the one from Map 2004. I didn't test this operation in Map 3D (or Civil 3D) versions 2015 and 2016.
